By accessing and using USOwnedMade.com (the "Platform"), operated by USOwnedMade ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you and the Company. We reserve the right to update these Terms at any time, and will notify users of material changes via the email address on file or by posting a prominent notice on the Platform at least 30 days prior to the changes taking effect. Your continued use of the Platform following the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Platform before the changes take effect.
USOwnedMade is an online marketplace that connects buyers seeking manufacturing services with verified US-owned, US-based manufacturers. The Platform facilitates discovery, competitive bidding, and matching between these parties. The Company is not a manufacturer, broker, agent, or party to any manufacturing agreement between buyers and manufacturers. We do not manufacture products, fulfill orders, inspect goods, guarantee delivery timelines, or directly provide manufacturing services. The Platform is a technology-enabled marketplace designed to streamline the request-for-quote (RFQ) and bidding process for manufacturing work within the United States.
You must be at least 18 years of age and have the legal authority to enter into binding agreements to use the Platform. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. Manufacturer accounts are limited to businesses with a physical manufacturing presence in the United States and minimum 51% US ownership, as determined through our verification process.
Manufacturers using the Platform must provide accurate, complete, and current information during registration and maintain the accuracy of such information throughout the duration of their account. You are solely responsible for all activity that occurs under your account. Manufacturers must complete and maintain verification status, which requires documented proof of US ownership (minimum 51%) and domestic manufacturing capabilities. Any material misrepresentation of business status, ownership structure, manufacturing location, capabilities, or certifications may result in immediate account termination, forfeiture of any prepaid subscription fees, and potential legal action. You agree to promptly notify us of any unauthorized use of your account.
Buyers may post Request for Quotes (RFQs) on the Platform at no charge. Manufacturers may submit bids on posted RFQs according to their subscription plan terms. All bids submitted through the Platform constitute offers to perform the described work at the terms specified. By accepting a bid, a buyer enters into a direct business relationship with the manufacturer — not with USOwnedMade. The Company is not a party to, and bears no responsibility for, the terms, execution, quality, or outcome of any manufacturing agreement between buyers and manufacturers. Users acknowledge that the Platform does not guarantee the availability of bids, the accuracy of RFQ information, or the suitability of any manufacturer for a particular project.
The following fees apply to Platform usage. Buyer fees: A 2.5% platform fee on the total invoice value of completed jobs facilitated through the Platform. Posting RFQs is free. Manufacturer subscription fees: Free Listing ($0/month — directory listing only, no bidding); Pro Plan ($49/month — includes up to 10 bids per month); Unlimited Plan ($149/month — unlimited bids per month). Pay-Per-Bid: $25 per individual bid, available without a subscription. All prices are in US Dollars and exclusive of applicable sales tax. Subscription fees are billed monthly in advance and are non-refundable for partial months. Platform fees are due within 30 days of job completion. The Company reserves the right to modify pricing with 30 days' advance written notice to affected users. All fees and pricing are published on the Platform's pricing page.
All manufacturing engagements initially discovered or initiated through the USOwnedMade Platform must be completed through the Platform for the initial project scope. It is a violation of these Terms for either party to take a transaction off-platform after a connection has been made through USOwnedMade, including continuing negotiations outside the Platform, modifying the scope to avoid Platform fees, or fulfilling the initial project outside the Platform's transaction system. Circumventing the Platform constitutes a material breach of these Terms and may result in account suspension or termination, recovery of owed platform fees, and, where applicable, additional legal action to recover damages. Both buyers and manufacturers are jointly responsible for adhering to this requirement. This restriction applies only to the initial project; subsequent unrelated engagements between the same parties are not restricted.
USOwnedMade verifies, to the best of its ability, that manufacturers listed on the Platform meet the stated criteria of US ownership (minimum 51%) and domestic US manufacturing presence. However, the Company makes no warranties or guarantees regarding the quality of manufactured products, adherence to project timelines, financial stability of listed manufacturers, compliance with industry standards or regulations, or specific outcomes of any manufacturing engagement. Verification is limited to ownership and location and does not constitute an endorsement, guarantee, or certification of any manufacturer's work product, reliability, or fitness for a particular purpose. Buyers and manufacturers are solely responsible for conducting their own due diligence before entering into any manufacturing agreement.
Users retain all rights to their own intellectual property, including designs, specifications, trade secrets, and proprietary information shared through the Platform. By using the Platform, you grant USOwnedMade a limited, non-exclusive license to display your business information (company name, description, capabilities, and certifications) on the Platform for the purpose of operating the marketplace. You may revoke this license by deleting your account. The Company does not claim ownership of any designs, files, or specifications uploaded to the Platform. The USOwnedMade name, logo, and Platform design are the intellectual property of USOwnedMade.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, USOWNEDMADE AND ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE PLATFORM OR ANY MANUFACTURING TRANSACTIONS FACILITATED THROUGH THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO USOWNEDMADE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY OF THE CLAIM (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless USOwnedMade and its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Platform, your breach of these Terms, your violation of any applicable law, or any dispute between you and another Platform user.
Any disputes between buyers and manufacturers regarding manufacturing agreements, quality, timelines, payment, or other matters related to jobs posted on the Platform are the sole responsibility of the parties involved. USOwnedMade is not responsible for mediating, arbitrating, or resolving such disputes. Any disputes between you and USOwnedMade shall be governed by the laws of the State of Maryland without regard to conflict of law principles. The parties agree to first attempt good-faith negotiation to resolve any dispute. If negotiation fails, disputes shall be resolved through binding arbitration administered in Montgomery County, Maryland, in accordance with the rules of the American Arbitration Association. The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.
Either party may terminate the user's account at any time. Users may cancel their account by emailing usownedmade@protonmail.com. Manufacturer subscription cancellations take effect at the end of the current billing period. The Company reserves the right to suspend or terminate any account that violates these Terms, with or without prior notice. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including but not limited to Sections 7, 9, 10, 11, 12, and 14) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States of America, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in Montgomery County, Maryland, for any legal proceedings arising from these Terms.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and any additional terms agreed to through the Platform, constitute the entire agreement between you and USOwnedMade regarding your use of the Platform and supersede all prior agreements, representations, and understandings.
